Board and committee mandates

High performing boards establish written mandates or charters that set out procedural matters, responsibilities, relationships with other committees, the role of senior management, resources, meetings and reports. The mandates for boards and committees form the basis of work plans and provide a foundation for performance evaluation.

I will develop your organization’s board and committee mandates or review and update existing mandates so that they reflect regulatory requirements, obligations under your constating documents and leading practices in corporate governance.

These mandates will provide the board and management with a framework for organizing work, transparency to stakeholders about the function and responsibilities of the board and committees, enhance regulatory compliance and reduce organizational risk.
